IT Home On October 19, local time on October 18, Anthropic announced that, with the approval of shareholders, the company plans to transfer 5% of its shares into a newly established Public Benefit Fund; and as the valuation of this artificial intelligence giant increases, the share ratio held by the fund could further increase in the future.
The proposed fund will be established as a wholly-owned limited liability company. At the discretion of the board of directors, if the company’s valuation increases by 50% compared to the undisclosed baseline, the fund will receive an additional 2% shares in Anthropic.
Projects supported by Anthropic Public Benefit Fund will include non-profit donations, direct funding for specific groups, and measures to address the impact of artificial intelligence on workers.
The company stated that any equity held by the fund will not be used for political lobbying or political donations in the United States or abroad.
Anthropic is planning one of the largest IPOs in history. The company will list under the Public Benefit Corporation (PBC) legal structure, which requires management to pursue commercial returns for investors while also considering broader public interests.
IT Home noticed that this company, which positions itself as a safety-first entity, often emphasizes the risks related to its artificial intelligence models. The most recent instance was in its IPO prospectus, where it stated that these models may exhibit “self-protection behavior”.
Including the newly established fund, Anthropic will have approximately 20% of its shares dedicated to public purposes in total, not including any additional shares that may be allocated when a valuation milestone is reached.
Anthropic says it will release more details in the coming months regarding the fund’s governance mechanism, organizational structure, and the valuation threshold that could increase its shareholding ratio; additionally, the company plans to publish a public interest report detailing its progress in achieving its mission.
